Gavia BIO may restrict, suspend, or terminate your access to the Site at any time and without notice, including if we believe that you have violated these Terms or that your use may harm the Site, Gavia BIO, or others.

The Site and its content, including text, graphics, illustrations, images, designs, videos, software, logos, names, scientific information, research descriptions, technology descriptions, and other materials, are owned by Gavia BIO or used with permission and are protected by applicable intellectual-property laws.

Except for the limited right to access and use the Site described above, no license or other right in Gavia BIO intellectual property is granted by implication, estoppel, or otherwise. The Site may invite researchers, healthcare professionals, prospective partners, investors, collaborators, and others to contact Gavia BIO. The public contact form and general email address are intended for initial communications and are not secure channels for confidential scientific, technical, business, medical, or proprietary information.

Please do not submit trade secrets, unpublished inventions, confidential research data, proprietary technical information, confidential business plans, medical records, identifiable patient information, protected health information (PHI), or other information that you expect Gavia BIO to keep confidential through the public site unless Gavia BIO has first agreed in writing to receive it on a confidential basis, such as under a separate nondisclosure agreement or other appropriate agreement.

By submitting information through the Site, you authorize Gavia BIO to receive, review, store, and use that information as reasonably necessary to respond to your inquiry, evaluate a potential relationship, maintain relevant business records, and otherwise communicate with you. TO THE FULLEST EXTENT PERMITTED BY LAW, GAVIA BIO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ITS CONTENT.

GAVIA BIO IS NOT RESPONSIBLE FOR MEDICAL, HEALTHCARE, RESEARCH, INVESTMENT, OR OTHER DECISIONS MADE IN RELIANCE ON INFORMATION PROVIDED THROUGH THE SITE.

Any claim arising out of or relating to the Site or these Terms must be brought within one (1) year after the claim arises, except where applicable law requires a longer period.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law.

You agree to indemnify, defend, and hold harmless Gavia BIO and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

Gavia BIO may assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with that defense. This section does not apply to the extent prohibited by applicable law.

Gavia BIO may modify, update, suspend, or discontinue portions of the Site at any time. We may also update these Terms to reflect changes in the Site, our practices, research and development activities, technology, or applicable requirements.

When we update these Terms, we will revise the "Last updated" date above.  If a change is material, we will take reasonable steps to make the change apparent on the Site. Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms.

These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.

Subject to any legal requirements that provide otherwise, disputes arising from these Terms or the Site will be brought in the state or federal courts located in Minnesota, and you consent to the jurisdiction of those courts.

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

Gavia BIO's failure to enforce any provision of these Terms does not waive its right to do so later.

These Terms, together with the Privacy Policy, are the entire agreement between you and Gavia BIO regarding your use of the Site and supersede any prior understandings regarding the Site. They do not modify or supersede any separate written agreement between you and Gavia BIO.

You may not assign or transfer these Terms without Gavia BIO's prior written consent. Gavia BIO may assign these Terms, including in connection with a merger, acquisition, financing, reorganization, or sale of assets.

The terms of this agreement survive any termination of your access to the Site.
